TERMS AND
CONDITIONS

§1 GENERAL PROVISIONS
I. These Terms and Conditions (hereinafter: “T&C”) apply to all contracts concluded between THE ZEED and a consumer in the version valid at the time of the order, placed via the online shop at www.thezeed.io.

II. A consumer within the meaning of §13 BGB (German Civil Code) is any natural person who enters into a legal transaction for purposes that predominantly are outside their trade, business, or profession.

III. The sale of products to entrepreneurs within the meaning of §14 BGB is excluded.
 

§2 CONCLUSION OF THE CONTRACT
I. The presentation of products in our online shop does not constitute a legally binding offer. Instead, it is an invitation to the consumer to submit a binding offer. By placing an order for the product in the desired quantity, the consumer submits a binding offer to conclude a purchase agreement with THE ZEED.

II. If a purchase contract is concluded, the contractual partner on behalf of THE ZEED is:
Sebastian Macht, Haldesdorfer Straße 14, 22179 Hamburg, Germany.

III. To submit a binding offer, the consumer must complete the order process in full. The desired item is placed in the shopping cart by clicking the corresponding button. To proceed, the consumer must initiate checkout from the shopping cart, providing contact details for shipping and selecting a payment method. The order process is completed by clicking the purchase button.

IV. Prior to submitting the binding offer, the consumer may correct input errors in order quantity or contact details by navigating back within the ordering steps. Closing the browser cancels the process. Once the order process is completed, receipt of the offer will be confirmed via an automatically generated email. This confirmation constitutes acceptance of the offer by THE ZEED, creating a binding contractual relationship.

V. Although the website content is originally drafted in English and may be translated into other languages by software, the contract language is German.
 

§3 STORAGE OF CONTRACT TEXT
I. For all orders placed via our online shop, the contract data will be stored and sent to the customer by email. The T&C are available in the footer of the online shop. For security reasons, contact details can no longer be accessed by the consumer via the browser after submitting the order.
 

§4 PRICES, SHIPPING COSTS AND PAYMENT TERM
I. All prices in THE ZEED’s online shop include statutory VAT and are stated in euros. The prices and conditions valid on the day of the order apply.

II. Product prices include all shipping costs. Delivery is limited exclusively to the member states of the European Union (EU). Delivery to other countries is excluded.

III. Only the payment methods provided during the checkout process are accepted. Within this selection, the consumer may choose freely.

IV. All payments for orders are due immediately and must be made in advance. To select PayPal as a payment method, the consumer must hold a valid account in order to authenticate and confirm payment via the PayPal interface. Delivery of products will only take place after payment has been received in THE ZEED’s account.


§5 DELIVERY CONDITIONS
I. Products are delivered by mail to the shipping address provided by the consumer during the order process. Other delivery methods, such as personal collection, are not possible.

II. Products are generally ready for dispatch within 1 - 2 business days. This period begins on the day after receipt of payment in THE ZEED’s account. If the end of this period falls on a Saturday, Sunday, or public holiday at the place of delivery, the next business day applies. Delivery within the EU usually takes 3 - 5 business days. Any delays will be communicated to the consumer immediately.

III. In accordance with §446 BGB, the risk of accidental loss or deterioration of the goods passes to the consumer only upon handover. If the consumer refuses acceptance or fails to take delivery in due time, the risk passes upon occurrence of default of acceptance.

IV. If delivery to the address provided by the consumer is impossible and the product is returned to THE ZEED by the shipping company, the consumer shall bear the costs of reshipment. This does not apply if the consumer is not responsible for the failed delivery, exercises a statutory right of withdrawal, or was prevented from accepting the delivery at the time of arrival. The latter does not apply if THE ZEED notified the delivery date in advance within a reasonable period.
 

§6 RETENTION OF TITLE
I. Ownership of the products remains with THE ZEED until full payment of the purchase price has been received.

II. Products under retention of title may not be transferred to third parties or pledged as collateral. Should third parties nevertheless seize the products, THE ZEED must be informed immediately.
 
III. If the consumer breaches contractual obligations, particularly payment obligations, THE ZEED is entitled to withdraw from the contract under statutory provisions and demand the return of the goods subject to retention of title. Withdrawal is only permissible after setting an appropriate payment deadline without success, unless such deadline is not required by law.
 

§7 WARRANTY
I. If a sold product is defective, the consumer’s rights are governed by statutory provisions.
 

§8 LIABILITY
I. All claims for damages by the consumer outside of warranty are governed exclusively by this §8.

II. Claims for damages are excluded. Exceptions are claims arising from injury to life, body, or health, from the breach of essential contractual obligations, or from damages caused by intentional or grossly negligent conduct by THE ZEED, its legal representatives, employees, or agents. In such cases, statutory provisions apply.

III. In the event of a breach of essential contractual obligations, THE ZEED is liable only for the typical, foreseeable damage, unless such damage is caused by intent or gross negligence. Liability under the German Product Liability Act remains unaffected.
 

§9 PRIVACY POLICY AND RIGHT OF WITHDRAWAL
I. Exclusively the withdrawal policy and privacy policy available on THE ZEED’s online shop website apply.
 

§10 FINAL PROVISIONS
I. All contracts are subject to the laws of the Federal Republic of Germany. The provisions of the United Nations Convention on Contracts for the International Sale of Goods (CISG) are excluded.

II. For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the country in which they habitually reside.
